These Terms of Service (“Terms”) govern access to and use of Adrails and its related services (the “Service”), operated by TBSS Labs, LLC (“Adrails”, “we”, “us”, or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms and the Privacy Policy form the agreement between you and Adrails concerning the Service.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter into a binding agreement. If you use Adrails for a company or another organization, you represent that you are authorized to bind that organization. In that case, “you” refers to the organization.
2. The Service
Adrails is a paid media workspace that can connect to advertising, commerce and analytics services. It can read account data, analyze performance, prepare campaign drafts, identify issues and propose account changes. Available integrations, features and limits may change as third-party platforms and the Service evolve.
Some features may be offered as a beta, preview, waiting-list release or early-access feature. Such features may be incomplete, changed or withdrawn at any time.
3. Accounts and workspace security
You must provide accurate information, protect your credentials and keep workspace membership current. You are responsible for activity carried out through your account and for the permissions you give to workspace members. Notify support@adrails.thomasbail.com promptly if you suspect unauthorized access.
Workspace owners and administrators are responsible for ensuring that only authorized people can connect integrations, approve changes and access customer data.
4. Connected services
You may choose to connect services such as Meta, Shopify, Klaviyo and Triple Whale. By connecting a service, you confirm that you have the authority to grant Adrails the requested access and instruct us to process the connected data to provide the Service.
Your use of a connected service remains subject to that provider's own terms and policies. You are responsible for keeping the connection authorized, selecting appropriate permissions and complying with the provider's rules. Third-party providers may change their APIs, permissions, availability or data without notice to us.
5. Meta permissions and account changes
Adrails requests ads_read so it can read authorized Meta ad accounts, campaign settings and performance. It requests ads_management so it can create or change advertising objects when an authorized user asks it to do so.
Adrails is designed around explicit approval. A proposed write is shown in the workspace and must be approved by an authorized user before it is sent to Meta. You remain responsible for reviewing the proposal, audience, creative, budget, schedule, tracking, legal compliance and expected effect before approval.
You authorize Adrails to submit an approved action to the relevant provider. Provider processing may be delayed, rejected or applied differently because of platform rules, review systems, account state or later provider changes.
6. Your data and content
You retain your rights in the data, instructions, campaign drafts, creative references and other materials you provide or connect (“Customer Data”). You grant Adrails a limited, non-exclusive license to host, copy, transmit, transform and otherwise process Customer Data only as needed to provide, secure and support the Service, comply with law and enforce these Terms.
You represent that you have all permissions and lawful bases needed for Customer Data and for the advertising activity you conduct through the Service. You must not upload, connect or instruct us to process data that you are not entitled to use.
We may use aggregated or de-identified information that does not identify a person or customer to operate, secure and improve the Service.
7. AI features
The Service uses automated systems and third-party AI providers to generate answers, analyses, drafts and proposed actions. Outputs may be incomplete, inaccurate, outdated or unsuitable for your circumstances. They are not professional, legal, tax, financial or investment advice.
You must independently review outputs and verify material facts before relying on them. Approval controls reduce accidental writes, but they do not replace your professional judgment or responsibility for an advertising decision.
8. Acceptable use
You will not, and will not allow others to:
- use the Service in violation of applicable law or regulation;
- run unlawful, deceptive, discriminatory, infringing or fraudulent advertising;
- access an account, workspace or connected service without proper authorization;
- bypass approval, authentication, authorization, usage or rate-limit controls;
- probe, scan or test the Service for vulnerabilities without our prior written permission;
- introduce malware or interfere with the integrity, availability or performance of the Service;
- scrape, reverse engineer, decompile or attempt to extract source code, except where applicable law expressly permits it;
- resell, sublicense or provide the Service to a third party as your own product without our prior written consent;
- submit secrets, sensitive personal data or regulated data that the Service does not ask for or is not designed to process.
9. Adrails intellectual property
The Service, including its software, design, documentation, models, workflows, brand and original content, is owned by Adrails or its licensors and protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Service for your internal business purposes.
Feedback is voluntary. You grant us the right to use feedback without restriction or compensation, provided we do not identify you publicly without permission.
10. Third-party services
Adrails depends on third-party services, including advertising platforms, commerce platforms, AI providers and infrastructure providers. We do not control and are not responsible for their services, data, policies, security or availability. A third-party outage or policy change may limit or disable part of the Service.
Adrails is not affiliated with, sponsored by or endorsed by Meta Platforms, Inc., Shopify Inc., Klaviyo, Inc., Triple Whale Inc., Google LLC or OpenRouter, Inc. Third-party names and trademarks belong to their respective owners and are used for identification.
11. Availability and changes
We aim to provide a reliable Service, but we do not guarantee continuous or error-free availability. We may maintain, modify, limit or discontinue features. Where practical, we will give reasonable notice before a change that materially reduces core functionality for active customers.
12. Suspension and termination
You may stop using the Service at any time. You can revoke third-party access through the relevant provider and request account or workspace deletion as described in the Privacy Policy.
We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay applicable fees, misuse a connected platform, or if suspension is required by law or a provider. Where reasonable, we will provide notice and an opportunity to cure the issue.
On termination, your right to use the Service ends. Provisions that by their nature should survive will remain in effect, including ownership, disclaimers, liability limits and dispute provisions.
13. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement and any warranty arising from a course of dealing.
Advertising and commerce data may be delayed, incomplete, estimated, attributed differently across providers or changed by the source after synchronization. We do not warrant that data, findings, forecasts or AI outputs are accurate, complete or current. We do not guarantee campaign approval, delivery, reach, performance, sales, profitability or any other result.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, business opportunity or anticipated savings, arising from or related to the Service.
To the maximum extent permitted by law, Adrails' total liability arising from or related to the Service will not exceed the amount you paid for the Service in the 12 months before the event giving rise to the claim. If you have not paid for the Service, the total will not exceed USD 100.
These limits do not apply to fraud, willful misconduct, death or personal injury caused by negligence, payment obligations, or liability that cannot be limited under applicable law.
15. Indemnification
To the extent permitted by law, you will defend and indemnify Adrails, its affiliates, officers, employees and agents against third-party claims arising from your Customer Data, your advertising activity, your breach of these Terms, or your violation of law or third-party rights. We will promptly notify you of a covered claim and provide reasonable cooperation.
16. Changes to these Terms
We may update these Terms as the Service or legal requirements change. The date at the top identifies the latest version. We will provide reasonable advance notice of material changes where required. Continued use after the effective date means you accept the updated Terms.
17. Disputes and applicable law
Before starting formal proceedings, you and Adrails will try in good faith to resolve a dispute by written notice and negotiation for at least 30 days. If the dispute is not resolved, either party may pursue the remedies available before a court of competent jurisdiction.
These Terms are governed by the laws applicable to TBSS Labs, LLC, without regard to conflict-of-laws rules, except where mandatory law in your place of residence applies. Nothing in these Terms limits rights that cannot be waived under applicable consumer or data protection law.
18. General
You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, financing or sale of assets. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. These Terms and the Privacy Policy are the entire agreement about the Service unless you and Adrails sign a separate agreement that expressly overrides them.
